3- Subject Matter and Purpose of the Agreement

This Agreement is entered into to regulate the mutual rights and obligations between Kiqro and the User regarding the User’s performance of Tasks related to the real user experience offered by Kiqro on the Platform.

This Agreement is established upon the User’s registration on the Platform via electronic means. Upon registration, the User acknowledges, declares, and undertakes that they have read all provisions of this Agreement and the attached Company Policies separately, and have agreed to and accepted each provision individually.

4- Rights and Obligations of the Parties

4.1. General Provisions

Upon the entry into force of this Agreement, the User acknowledges, declares, and undertakes to fulfill the obligations set forth herein.

Kiqro acts as an intermediary for Users to complete Tasks specified by the Advertiser through the Platform.

Kiqro is not responsible for the authenticity, reliability, accuracy, or legality of any visual, written, or other content on the Platform. Kiqro has no obligation to monitor such content or to investigate whether any unlawful activity is taking place on the Platform.

Kiqro may, at its sole discretion, remove, modify, make available for a fee, update, suspend, or discontinue the Platform and/or the services offered through the Platform, in whole or in part, permanently or temporarily, and/or introduce additional services on the Platform. Kiqro assumes no liability toward the User and/or third parties regarding the matters listed in this section or any other similar matters.

4.2. Membership

When registering on the Platform, the User may provide their email address and/or cell phone number. Kiqro may require verification of this information during the registration process or, at its sole discretion, may defer the verification process to after registration.

The User acknowledges that verification of their email address and/or cell phone number may be required for certain transactions, particularly reward claims and withdrawals. Users who do not complete the verification process may be unable to use some features of the Platform, either partially or entirely.

Only legal entities and natural persons who have reached the age of 18 (eighteen) may become Users. Natural persons who accept this Agreement acknowledge and declare that they have reached the age of 18, while individuals acting on behalf of legal entities acknowledge and declare that they are authorized to do so.

The User acknowledges and undertakes that the information provided is accurate and up-to-date, and that they will update it immediately in the event of any changes.

Upon acquiring User status, the User obtains the rights defined for Users in this Agreement and on the Platform. A User who fails to provide the information requested on the Platform in an accurate, complete, and up-to-date manner shall be personally liable for all damages that may arise as a result; should the contrary be determined, Kiqro has the right and authority to partially or completely restrict, block, suspend, or terminate the User’s membership and to partially or completely revoke the points earned by the User.

A User account is specific to the User who created it. The User shall not allow a third party to use their account and shall not use other Users’ membership accounts.

The User acknowledges, declares, and undertakes that creating more than one account by the same person (duplicate membership) is prohibited. In this context, creating multiple accounts using different email addresses, cell phone numbers, IP addresses, devices, or similar methods will also be considered duplicate membership.

If Kiqro determines that the User has created multiple accounts or is using the Platform to obtain unjust enrichment or to abuse the system, or if there is reasonable suspicion in this regard, Kiqro reserves the right to partially or fully restrict, suspend, or terminate the User’s membership; merge the relevant accounts; and/or partially or fully reclaim the balance and points earned by the User.

Kiqro, in its sole discretion, may at any time and without providing any reason, reject membership applications, terminate memberships, or make the acceptance or continuation of a membership application, or the use of the Platform, subject to additional terms and conditions. Any changes, additional terms and conditions, provisions, guidelines, and policies introduced by Kiqro following the User’s membership process and communicated, notified, or published in any form, shall be binding on the User as of the time of publication, without the need for any further notice or consent, and the User shall be deemed to have accepted them by continuing to use the Platform or to benefit from the services offered through the Platform.

The User may terminate their membership unilaterally at any time without providing a reason. The User may initiate the process of closing their user account through the Platform. The User acknowledges and agrees that, following the closure of their user account, they will not be able to reuse the account and/or recover the rights and benefits associated with it, nor transfer them to other user accounts.

4.3. Completion of Tasks and Verification of Task Evidence

The scope and details of Tasks are published on the Platform. Users may select and complete any Task they wish; they may choose not to select Tasks they do not wish to perform or for which they lack experience. Users who accept chained Tasks—where multiple Tasks are sequentially linked—must complete all Tasks in the chain to earn a balance or points. Since the Platform aims to measure genuine user experience, Users must not select or complete Tasks using fake user experiences for the purpose of earning points or for any other reason.

To accept and complete Tasks on the Platform, a User may be required to link their social media account to the Platform. In this case, the User agrees to link to the Platform a social media account that belongs to them and meets the criteria—such as the number of followers and the number of posts—determined by Kiqro and announced on the Platform. The User agrees and declares that they will not add a social media account that does not belong to them to the Platform, and that all legal and judicial liability in this regard rests with them.

Kiqro reserves the right to modify all criteria—including, but not limited to, the number of followers and the number of posts—regarding social media accounts that can be registered on the Platform. Kiqro may prevent the User from accepting Tasks using their social media accounts even if they meet the criteria. Kiqro may approve a User’s participation in Tasks using a social media account that does not meet the criteria if Kiqro determines that the account is organic.

The User acknowledges that Kiqro acts solely as an intermediary in the Transactions performed through Tasks and that Kiqro bears no legal liability. The relevant Advertisers and/or third-party service providers (including, but not limited to, offer walls, survey providers, and similar service providers) are legally responsible for the content of Tasks published on the Platform. The User acknowledges, declares, and undertakes not to hold Kiqro legally liable for matters related to the Tasks, and that the relevant Advertiser and/or third-party service providers are the parties to whom such claims should be directed. The User acknowledges, declares, and undertakes that if they wish to initiate legal proceedings regarding Tasks offered through the Platform, they are required to personally fulfill the necessary legal obligations and procedures, and that Kiqro bears no legal liability regarding these obligations and procedures.

Users declare that they understand they must upload Task Proofs containing accurate and complete information to the designated fields on the Platform after completing the Tasks.

The User agrees to act in accordance with the provisions of this Agreement, the Platform rules announced or communicated by Kiqro in any manner, applicable laws, and ethical standards, and acknowledges, declares, and undertakes that the legal and criminal liability for the Tasks they have completed rests solely with them. The User acknowledges, declares, and undertakes that if they believe the Tasks they have accepted to complete do not comply with applicable laws and ethical standards, they will immediately notify Kiqro of the situation before completing such Tasks.

The User acknowledges that Tasks performed using their username and password will be deemed to have been performed by them, that liability arising from such Tasks rests with them, acknowledges, declares, and undertakes that they may not raise any defense and/or objection claiming that they did not perform the Tasks, and/or refuse to fulfill their obligations based on such a defense or objection, and that Kiqro bears no liability in this regard.

The User acknowledges that all personal data, information, photographs, videos, ideas, expressions, comments, ratings, correspondence, and other content (“Task Evidence”) uploaded and provided by the User both during registration on the Platform and while using the Platform

• Will comply with this Agreement, the Platform rules announced or communicated by Kiqro in any manner, the provisions of applicable laws, and moral standards;

• Will not violate the law, ethical standards, or the rights of third parties (including, but not limited to, intellectual and industrial property rights, the right to privacy, and personality rights),

• If comments or ratings are requested as part of the assignment, the User will provide comments only on products and services for which the User is authorized to do so under applicable laws,

• That it will comply with the Personal Data Protection Law (KVKK) and relevant legislation, and will not contain personal data belonging to third parties,

• The content will not constitute a criminal offense, result in or encourage a violation of international agreements, contain advertising and/or marketing content, be pornographic, contain nudity, or violate generally accepted social norms or intellectual and industrial property rights, or that creates unfair competition and/or is of a similar nature.

The User; acknowledges that Kiqro has no obligation to monitor Task Proofs, that the User is solely responsible for the Task Proofs, and that the User is obligated to compensate Kiqro and/or third parties for any and all damages arising from the Task Proofs. Although this does not imply that Kiqro has any obligation to monitor Task Proofs, Kiqro reserves the right to review Task Proofs and investigate any violations related to them, either on its own initiative or upon receiving a complaint or report. Kiqro may, at its sole discretion, request that the User or Advertiser remove any Task Proofs that it deems to be in violation of this Agreement. No balance or points will be credited to the User for such Task Proofs; if points have already been credited, they will be reclaimed.

Kiqro will retain Task Proofs uploaded to the Platform by Users for a minimum of 3 months and a maximum of 10 years from the Task completion date. Even if Kiqro deletes the Task Evidence, it will continue to retain the log information related to the Task Evidence for 10 years to fulfill its legal obligations.

4.4. System Misuse and Legal Liability

The User acknowledges, declares, and undertakes that the following actions, when taken while using the Platform, constitute a breach of this Agreement and will be considered misuse of the Platform (fraud and/or manipulation):

• Creation of multiple accounts by the same person
• Deceiving the system through the use of VPNs, proxies, emulators, multiple IP addresses, or similar methods
• Manipulation of IP addresses, device information, or user behavior
• Using bots, scripts, automation, or artificial traffic
• Submission of fake, misleading, or altered Proof of Task
• Using another person’s account or login credentials
• Exploiting platform vulnerabilities to gain unfair advantage
• Any behavior that could cause harm to advertisers, Kiqro systems, or other users

If Kiqro detects any of the actions listed above, it reserves the right, at its sole discretion, to suspend, restrict, or permanently close the User’s account, recover all or part of the User’s earned balance and/or points, and block the User’s access to the Platform. The reopening of accounts closed or suspended by Kiqro is at Kiqro’s discretion.

The User acknowledges that they are obligated to compensate Kiqro and/or third parties for all direct and indirect damages that may be incurred as a result of such actions.

Kiqro reserves the right, where it deems necessary, to pursue legal and criminal remedies against the relevant User, seek compensation, demand the return of unjust enrichment, and file complaints with the competent authorities.

4.5. Not

a Financial Institution Kiqro is a rewards and digital task platform; it is not a bank, payment institution, or financial institution. The Turkish Lira (TL) or similar values displayed on the Platform represent only the estimated value of points and do not constitute deposits in any bank account.

4.6. Nature

of Points Kiqro uses a virtual reward system referred to as “Points.” Points are not legal tender, do not constitute a financial deposit, and have no direct cash value. Points grant a limited, non-transferable, and revocable right of use that can only be used for rewards offered within the Platform.

4.7. Right

of Ownership The User acknowledges that Points on the Platform do not confer any right of ownership upon the User. Points are non-transferable, non-sellable, cannot be transferred to third parties, and may not be used for commercial purposes in any way.

4.8. Conversion Rate

The conversion rate used to convert points on the Platform into rewards is determined by Kiqro. Kiqro reserves the right to change conversion rates and task point values without prior notice.

4.9. Minimum Threshold

The User must reach the minimum point threshold specified on the Platform to convert points into rewards. This threshold is determined by Kiqro and may be updated as necessary.

4.10. Tax Obligations

The User acknowledges that they are solely responsible for any and all taxes and legal obligations that may arise from the rewards and earnings obtained through the Platform.

4.11. Reward and Payment Processes

Within three business days at the latest after Users upload their Task Proofs to the system, the balance/points determined for the relevant task will be credited to the User’s account. However, this crediting does not imply that the User has definitively earned the relevant reward. If the User requests a reward, the Task Evidence will be reviewed by Kiqro and/or the Advertiser. If the review determines that the Task Evidence is accurate and valid, the reward will be approved. If the Task Evidence is found to be incomplete, incorrect, misleading, or in violation of this Agreement, Kiqro reserves the right to recover, in whole or in part, the balance and/or points earned by the User from the relevant task.

If Users determine that the Tasks they have selected on the Platform violate applicable laws or general moral standards, they must notify Kiqro. Kiqro takes such notifications seriously to ensure full compliance with laws and general moral standards. Kiqro commits to awarding the first 3 Users who report such issues regarding Tasks on the Platform—provided the report is accurate—a balance or points equal to five times the balance or points the User would have earned from the relevant Task.

Points earned by Users can be redeemed for cash or non-cash rewards. Details regarding the rewards that can be obtained with points—including the minimum number of points a User must accumulate for each reward and how the reward is earned—will be posted on the Platform. Kiqro reserves the right to change the conditions for earning rewards at any time. Kiqro may provide advance notice of changes related to rewards via notifications sent to Users’ email addresses and may announce the effective date of such changes to Users on the Platform and in the notifications sent to their email addresses. Users may claim their rewards under the current terms based on the announcement and notification provided. After the effective date of the changes, the updated terms established by Kiqro regarding the rewards will apply.

To prevent duplication, ensure security, and facilitate payment processes, Kiqro may request certain information—such as first name, last name, and IBAN—from Users who wish to redeem their points for rewards. The User acknowledges and declares that the information provided to Kiqro is their own, accurate, and up-to-date. To ensure that payment transactions are carried out securely, Kiqro may require that the first and last name of the account holder associated with the IBAN provided by the User match the first and last name registered in the User’s account. If this information does not match, Kiqro reserves the right to reject the payment request. The User agrees to complete any additional verification steps that Kiqro may require to ensure the security of payment processes. In this context, if deemed necessary, a symbolic verification process may be requested prior to payment. If the information provided by the User is found to be incorrect, incomplete, or false, Kiqro reserves the right to reject the relevant payment request and take any other measures it deems necessary.

The User agrees that if they fail to log in to the Platform continuously for 6 (six) months or fail to reach the minimum reward point threshold for 6 (six) months, their account may be deemed inactive. In such a case, Kiqro reserves the right, if it deems it necessary, to recover all or part of the balance and/or points in the User’s account and/or to suspend or close the User’s account. Kiqro may notify the User via the communication channels registered on the Platform before carrying out these actions. The minimum reward point threshold is announced on the Platform and may be updated by Kiqro as necessary. The User declares that they are aware of, understand, and accept the provisions set forth in this section.

4.12. Referral System

Kiqro may implement a referral system, the details of which will be provided on the Platform during the sign-up process. The terms of the referral system will be determined by Kiqro; under this system, the referring user may earn points based on the tasks completed by the people they refer. Kiqro has the authority to establish, cancel, or modify the referral system.

4.13. Third-Party Service Providers

Some Tasks, rewards, or services offered on the Platform may be provided by third-party service providers other than Kiqro (such as offer walls, survey providers, and reward and gift card providers). The User acknowledges that such services are provided not by Kiqro but by the relevant third-party service providers, and that Kiqro is not responsible for the content, accuracy, reward terms, payment processes, delays, or rejected transactions related to these services. The completion of tasks, earning of rewards, or processing of payments provided by third-party service providers is evaluated within the framework of the relevant provider’s systems and rules. Kiqro cannot be held liable for any circumstances that may arise, including but not limited to delays, technical errors, failure to make payments, or reward cancellations caused by third-party service providers. Kiqro makes no guarantees regarding the services provided by third-party service providers.

4.14. Music-Based Tasks (Song Surveys)

Some Tasks offered on the Platform may involve listening to content via third-party music platforms and providing feedback on such content. The User acknowledges that they are obligated to actually listen to the relevant content in such Tasks and to provide honest feedback. Kiqro is under no obligation to technically verify, with absolute precision and completeness, the extent to which the User has listened to the music content or the duration of such listening. The User acknowledges that the responsibility to prove compliance with the Task requirements lies solely with them. Kiqro reserves the right, when deemed necessary, to invalidate relevant Tasks, revoke points, and/or take necessary actions on the User’s account in cases of insufficient listening, incorrect or misleading feedback, failure to comply with Task conditions, or suspected misuse of the system.

4.15. Security

The User is responsible for ensuring that all information registered on the Platform—including username and password—is complete and accurate, for updating it in a timely manner, for filling in any gaps, and for ensuring it remains complete and accurate at all times. It is the User’s sole responsibility to set a secure password for their User account and change it at regular intervals, to ensure the security of their User account and User information, to refrain from sharing this information with third parties, to protect its confidentiality, and to take all necessary measures in this regard. In the event of any suspicion regarding password use and/or the security of the user account and password, Kiqro, while reserving all rights to claims, lawsuits, and legal action, reserves the right and authority to partially or completely restrict, block, suspend, or terminate the user account.

Kiqro has taken reasonable measures within its current capabilities to ensure that the Platform and the content, materials, and elements available for access, use, download, and sharing on the Platform are free from malicious software. However, Kiqro does not guarantee that the Platform or the content, materials, and elements available for access, use, download, and sharing on the Platform are free from viruses, bugs, Trojan horses, corrupted files, worms, dialer programs, spam, spyware, and any other malicious or harmful software (such as spyware and adware), programs, products, code, and/or materials. The User is obligated to take all necessary precautions—including the use of protective software, hardware, and licensed products—to prevent the occurrence of such threats and their transmission in any way to their devices, device hardware and software, and/or other equipment and technologies. Kiqro shall in no way be liable for any damages that the User and/or third parties may incur, including but not limited to malfunctions, damages, incorrect information, data breaches, and losses that may arise in this context.

Links on the Platform may direct the User to other websites or applications. Kiqro makes no warranties or representations regarding the content, accuracy, reliability, security, and/or functionality of these websites or applications; and is in no way liable for any damages arising from access to, use of, downloads from, sharing of, and/or modifications to such websites or applications.

Kiqro does not guarantee that the use of the Platform will be uninterrupted or error-free. While Kiqro strives to ensure the Platform is accessible and available 24/7, it makes no guarantees or representations regarding the operation or availability of the systems that provide access to the Platform. Kiqro cannot be held liable in any way for technical malfunctions that may occur on the website. Kiqro is not liable for any damages—whether direct or indirect—that have arisen or may arise as a result of short-term or long-term technical malfunctions.

5- Protection of Personal Data and Commercial Communications

Kiqro attaches great importance to the processing, security, and protection of personal data in accordance with all applicable laws and regulations, including the Personal Data Protection Law (KVKK), within the scope of this Agreement. Kiqro uses the personal data it obtains during the establishment and performance of this Agreement for the following purposes: the User’s registration on the Platform, tracking the Tasks selected by the User, tracking the points and rewards earned by the User, preventing duplicate registrations on the Platform, complying with legal requirements, conducting activities aimed at enhancing User satisfaction, ensuring the security of user accounts, and resolving disputes arising from issues such as fraud, deception, misuse of the Platform, or matters that may constitute a crime under the Turkish Penal Code.

The User acknowledges that they can obtain detailed information regarding the processing and sharing of personal data through the “Privacy Notice” ("Privacy Notice") available on the Platform, which is an integral part of this Agreement. The User acknowledges that Kiqro reserves the right to update the Privacy Notice at any time in accordance with changes in applicable legislation or in Kiqro’s practices.

The User may submit a request to Kiqro to obtain detailed information regarding their personal data being processed and to exercise their rights and make claims under the Personal Data Protection Law (KVKK) by using the application methods specified in Article 5 of the Communiqué on the Procedures and Principles for Applications to the Data Controller, via the application methods outlined in the Privacy Notice or by sending an email to info@kiqro.com using the email address registered in their membership account.

Personal data for which the purpose of processing and storage ceases upon the termination of the User Agreement or the closure of the User account is deleted in accordance with the applicable legislation; personal data that the User is required by law to retain will continue to be processed by Kiqro until the purpose of processing ceases to exist.

Kiqro will take all necessary measures to ensure the secure storage of such personal data in accordance with Article 12 of the Personal Data Protection Law (KVKK) and to prevent unauthorized access and unlawful data processing.

If the User consents to commercial electronic communications, Kiqro may send commercial electronic communications for promotional and marketing purposes to the User’s email address or mobile phone number registered on the Platform, in accordance with relevant legislation and the Message Management System (İYS). The User acknowledges and agrees that they are responsible for ensuring that the email address and mobile phone number registered on the Platform remain accurate and up-to-date.

The User has the right to refuse to consent to the sending of commercial electronic messages or to withdraw their consent. The User may withdraw their consent using the methods specified in applicable laws.

6- Intellectual Property Rights

The Kiqro brand and logo, the Kiqro Platform, and the software, design, domain name, interfaces, algorithms, drawings, models, and designs of all services offered on the Platform, as well as any and all brands, designs, logos, trade dress, slogans, videos, and all other content (excluding content and applications provided by third parties) are the property of Kiqro. The Task Proofs uploaded by the User to the Platform belong to the User.

The User may not use, share, distribute, display, reproduce, reverse engineer, or create derivative works based on the intellectual property rights owned by Kiqro without Kiqro’s written permission.

If the User acts in a manner that infringes upon Kiqro’s intellectual property rights, the User is obligated to compensate Kiqro for all direct and indirect damages, including related expenses. Kiqro also reserves the right to partially or completely restrict, block, suspend, or terminate the User’s membership, without prejudice to any other claims, lawsuits, or enforcement rights.

7- Force Majeure

If Kiqro is unable to fulfill its obligations arising from this Agreement due to the circumstances listed below—including but not limited to—it shall not be held liable for any delayed or prevented obligations, and such circumstances shall not be deemed a breach of this Agreement:

Force Majeure Events include: insurrection, embargo, government intervention, rebellion, occupation, war, mobilization, strike, lockout, labor actions or boycotts, cyberattacks, communication issues, infrastructure and internet outages, system maintenance or upgrade work, issues arising from third-party service providers and any resulting outages, power outages, fire, explosion, storms, floods, earthquakes, migration, epidemics, extraordinary weather conditions, or other natural disasters, legal and administrative regulations, prohibitions, or other events occurring beyond Kiqro’s control, not attributable to its fault, and that could not reasonably have been foreseen.

Such events shall constitute force majeure, and the Parties’ obligations under this Agreement shall be suspended for the duration of the force majeure event.

8- Termination of the Agreement

The User has the right to terminate this Agreement at any time.

If the User acts in violation of this Agreement, applicable laws, or general principles of morality, Kiqro may immediately and unilaterally terminate this Agreement. The User is solely responsible for any damages arising from conduct that violates this Agreement, applicable laws, or general moral standards.

In cases where there is just cause—such as the User acting in violation of this Agreement, using the services provided by Kiqro in an unlawful manner, or attempting to exploit vulnerabilities in the Platform to gain unjust enrichment—Kiqro has the right to freeze or suspend the User’s accounts, terminate their membership, take any other necessary measures, and terminate this Agreement.

9- Other Provisions

This Agreement becomes effective upon its publication on the Platform by Kiqro and its acceptance by the User.

No provision of this Agreement may under any circumstances be interpreted as a waiver of the User’s legal obligations, failure to comply with relevant regulations, or failure to undergo audits.

The failure of either party to exercise any right, authority, or privilege arising from this Agreement, or any delay in exercising such right, authority, or privilege, shall not be construed as a waiver of such right, authority, or privilege. A waiver of any provision, condition, or term contained in this Agreement does not constitute a continuing waiver of such provision, condition, or term and shall not be construed as such.

Kiqro may, at its sole discretion, unilaterally amend this Agreement and any and all policies, rules, terms, and conditions on the Platform at any time it deems appropriate by providing notice in any manner it deems appropriate. Unless otherwise specified by Kiqro, amendments and additions shall take effect on the date they are announced, notified, and/or published on the Platform without the need for further approval, while the remaining provisions will remain in full force and effect and continue to produce their legal effects. By continuing to use the Platform, the User shall be deemed to have accepted these changes and additions. Kiqro recommends that Users visit the User Agreement page when logging into the Platform. If applicable laws require the User to expressly approve such changes, and if the User fails to approve them, Kiqro may partially or fully restrict, block, suspend, or terminate the User’s account.

This Agreement constitutes the entire agreement between the Parties regarding the subject matter herein. If any provision of this Agreement is held by any competent court, arbitration panel, or administrative authority to be wholly or partially invalid, unenforceable, or unreasonable, this Agreement shall be deemed severable to the extent of such invalidity, unenforceability, or unreasonableness, and the remaining provisions shall remain in full force and effect. The User may not assign any of its rights or obligations under this Agreement, in whole or in part, without Kiqro’s prior written consent. Kiqro, however, may assign and transfer its rights, obligations, liabilities, and/or claims arising from this Agreement without any need for permission.

In any disputes arising from this Agreement, the User acknowledges that the e-archive records, electronic information, and computer records maintained in Kiqro’s official ledgers, commercial records, and on Kiqro’s servers shall constitute binding, conclusive, and exclusive evidence, and acknowledges that this provision constitutes an “Evidence Agreement” within the meaning of Article 193 of the Code of Civil Procedure No. 6100.
